Last updated: 19 October 2026
These Terms apply to your use of Referral Nexus (the "Service"). The Service is provided by Fintech Innovation Group Ltd, a company registered in England and Wales under company number 16909729, with its registered office at 2 Oystercatcher Close, Sprowston, Norwich, England, NR7 8LP ("we", "us", "our").
Contact: heaphy@hotmail.co.uk.
By creating an account or using the Service, you agree to these Terms and to the Data Processing Terms in the Schedule below. Our Privacy Policy explains how we handle personal data.
1. Who can use the Service
- The Service is for businesses only. By creating an account you confirm that you are acting for a business, and that you have authority to accept these Terms for it (the "Customer", "you").
- Consumer protection laws that apply only to consumers don't apply to this agreement.
- You must be at least 18.
- Members and referrers who join a Customer's referral programme use the Service at that Customer's invitation. Their relationship is with the Customer, not with us.
2. Your account
- Keep your login details secure. You are responsible for all activity on your account, including activity by users you invite.
- Tell us straight away at heaphy@hotmail.co.uk if you suspect unauthorised access.
3. Fees
- No monthly or setup fee. You can create an account, set up programmes, members and referrals, and use the Service without paying a subscription or setup fee. There is no separate charge for integrations, including Salesforce. The only fee we charge is the platform fee below.
- Platform fee. We charge a platform fee of 1% of the value of each reward that is marked as paid in the Service. This includes rewards paid through our PayPal integration and rewards you record as paid manually. The fee is calculated when a reward is marked as paid and is charged in pounds sterling (GBP).
- Third-party fees. Our platform fee does not include fees charged by PayPal or any other payment provider. PayPal's fees are charged on top of our platform fee, under your own agreement with PayPal.
- Early-access pricing. If you are one of the first 250 businesses to sign up, your 1% platform fee rate is fixed for the life of your account. The only exception is a price increase made under the "Price changes" point below to cover rising costs. Pricing for later sign-ups will be published on our website before it applies to them.
- Billing and payment. Platform fees are added up each month and collected in arrears through Stripe, using the payment method you add when you set up billing. We use Stripe only to collect our platform fees. Fees are exclusive of VAT, which is added where applicable.
- Failed payments. If a payment fails, we will tell you and try again. If fees are still unpaid 14 days after we tell you, we may suspend features of the Service, including PayPal payouts and taking programmes live, until they are paid. We may charge statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.
- Price changes. We may change our prices with at least 30 days' notice by email. Changes apply from your next billing period. For early-access customers, we will only increase the rate to reflect rising costs.
4. Rewards and payouts
-
You decide your programme rules, who qualifies for a reward, and how much rewards are worth. You are responsible for:
- funding rewards
- complying with the law that applies to your programme, including advertising, anti-bribery (Bribery Act 2010), tax and data protection law
- any tax or reporting obligations connected with rewards you pay.
- PayPal payouts are made from your own PayPal account and are subject to PayPal's terms and fees. We are not a payment service provider, bank or money transmitter, and we never hold your funds. We are not responsible for PayPal declining, delaying or reversing a payment.
- You are responsible for checking referrals before you approve a reward. We may provide tools to help, but we don't guarantee that every referral is genuine.
5. Integrations
- The Service can connect to third-party services such as Salesforce, Zapier, Shopify and PayPal. The optional Salesforce integration syncs referrals to your own Salesforce account. Your use of these services is governed by their own terms.
- You authorise us to access and exchange data with any integration you connect, as needed to provide that integration.
- We aren't responsible for third-party services, or for changes they make that affect an integration.
6. Your data
- You keep all rights to the data you or your members put into the Service, or sync from your CRM ("Customer Data").
- You give us permission to use Customer Data only to provide, secure and support the Service.
- You confirm you have a lawful basis, and have given any notices needed, to share Customer Data with us and to contact your members and referred contacts.
- Data protection. For personal data in Customer Data, you are the controller and we are your processor. The Data Processing Terms in the Schedule below form part of these Terms and are intended to meet the requirements of Article 28 of the UK GDPR. For admin account data, we are the controller, as explained in our Privacy Policy.
- At the end of the agreement, you can export your Customer Data for 30 days. We will then delete it within a further 30 days, unless the law requires us to keep it.
7. Acceptable use
You must not:
- use the Service for anything unlawful, deceptive or fraudulent, including fake referrals or pyramid schemes
- send spam, or contact people without a lawful basis
- upload malware, or try to break, overload or reverse engineer the Service
- resell the Service without our written permission.
We may suspend accounts that break these rules. Where reasonable, we'll give notice first.
8. Our intellectual property
- We own the Service and all related software, branding and content.
- We give you a non-exclusive, non-transferable right to use the Service during the agreement.
- We may use feedback you give us freely to improve the Service.
9. Availability and support
- We aim to keep the Service available and working, but don't guarantee it will be uninterrupted or error-free.
- We may change or improve features. If we remove a material paid feature, we'll give reasonable notice.
- Support is provided by email at heaphy@hotmail.co.uk.
10. Liability
- Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that can't be limited by law.
- Neither party is liable for any indirect or consequential loss, or for loss of profit, revenue, goodwill or data.
- Subject to the above, our total liability in any 12-month period is limited to the greater of (a) the fees you paid us in that period and (b) £100.
- You will compensate us for claims from third parties arising from your referral programme, your rewards, or Customer Data you didn't have the right to share.
11. Term and ending the agreement
- You can stop using the Service and close your account at any time. There is no minimum term. Fees already incurred remain payable.
- We can end the agreement with 30 days' notice by email. We can end it straight away if you materially breach these Terms and don't fix the breach within 14 days of notice, or if you become insolvent.
12. General
- Changes to these Terms. We may update these Terms. For material changes we'll give at least 30 days' notice by email. Continuing to use the Service after that means you accept the changes.
- No assignment. You may not transfer this agreement without our consent.
- Entire agreement. These Terms (including the Schedule) and the pricing shown on our website make up the whole agreement.
- Third parties. No one other than you and us has any right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.
- If any part is unenforceable, the rest still applies.
- Governing law and jurisdiction. These Terms, and any dispute arising from them, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
Schedule: Data Processing Terms
These terms apply where we process personal data in Customer Data on your behalf.
- Subject matter and duration. Providing the Service, for as long as the agreement lasts and until the data is deleted under section 6.
- Nature and purpose. Storing, organising, displaying and sending data so you can run referral programmes, track referrals, email your members, sync referrals to your own Salesforce account and pay rewards.
- Types of personal data. Names, email addresses, phone numbers, company details, referral details and status, reward amounts and PayPal email addresses.
- Categories of data subjects. Your members, referrers and partners, and the people they refer.
- Your instructions. We only process Customer Data on your documented instructions, which include these Terms and your use of the Service's settings. We will tell you if we think an instruction breaks data protection law.
- Confidentiality. Anyone we authorise to process Customer Data is bound by a duty of confidentiality.
- Security. We take appropriate technical and organisational measures to protect Customer Data, as required by Article 32 of the UK GDPR.
- Sub-processors. You authorise us to use the sub-processors listed in our Privacy Policy: Replit (hosting and database), Resend (email) and PayPal (reward payouts). We will give you notice of any new sub-processor, so you can object. We will put terms in place with each sub-processor that protect Customer Data to the same standard, and we remain responsible for them.
- International transfers. Where a sub-processor processes Customer Data outside the UK, we will make sure an adequacy decision or appropriate safeguard applies.
- Helping you. Taking into account the nature of the processing, we will help you respond to data subject requests, and meet your obligations on security, breach notification, data protection impact assessments and consulting the ICO.
- Breaches. We will tell you without undue delay after becoming aware of a personal data breach affecting Customer Data.
- Deletion. At the end of the agreement, we will delete Customer Data as set out in section 6, unless the law requires us to keep it.
- Audits. We will make available the information reasonably needed to show that we meet these terms, and allow reasonable audits on reasonable notice.
